Terms of Service

1. The Service

Gambit provides AI-assisted competitive intelligence, including automated research briefs, competitor monitoring ("Watchdog"), Win/Loss tracking, and Counterplay analysis cards (collectively, the "Service"). The Service is operated by EnkiLabs ("we," "us," or "our").

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter binding contracts on behalf of your organization to use Gambit. Gambit is a business-to-business (B2B) service; personal or consumer use is outside the intended scope.

Your account credentials (including the unique client URL provided to you) are confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@enkilabs.io if you believe your credentials have been compromised.

3. Acceptable Use

You agree not to:

• Use the Service to monitor individuals, compile personal dossiers, or engage in activities that violate applicable privacy laws
• Attempt to circumvent, reverse-engineer, or interfere with the Service's security or access controls
• Resell, sublicense, or provide white-label access to the Service without written consent from EnkiLabs
• Submit false, misleading, or fraudulent information during signup or account management
• Use the Service in any manner that infringes third-party intellectual property rights
• Attempt to extract training data from, or adversarially probe, the underlying AI models
• Use automated means to scrape or bulk-download Service outputs beyond your authorized subscription

We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion and without prior notice when immediate action is warranted.

4. AI-Generated Content and Accuracy

Gambit uses Anthropic's Claude API to generate competitive intelligence analysis. You acknowledge that AI-generated content:

• May contain inaccuracies, outdated information, or factual errors
• Reflects publicly available information at the time of generation and may not capture recent events
• Is not legal, financial, regulatory, investment, or strategic advice
• Should be independently verified before being acted upon for material business decisions

5. Data and Competitor Research

By adding competitor domains to your watchlist, you instruct Gambit to collect publicly accessible information from those domains on your behalf. You represent that your use of this capability complies with all applicable laws in your jurisdiction, including laws governing web scraping, data collection, and competitive intelligence gathering. EnkiLabs is not responsible for the legality of your specific monitoring instructions.

6. Subscription, Billing, and Cancellation

Gambit is offered on a monthly subscription basis. Fees are billed in advance via Stripe. All fees are in USD and are non-refundable except as required by applicable law or at EnkiLabs's sole discretion.

• Subscriptions renew automatically unless cancelled before the renewal date
• To cancel, email support@enkilabs.io before your next billing date
• Upon cancellation, access continues through the end of the paid period
• EnkiLabs may change pricing with 30 days' advance notice to active subscribers

If a payment fails, we will attempt to notify you via the email on file. Access may be suspended after a grace period if payment is not resolved.

7. Intellectual Property

The Gambit platform, including its code, design, trademarks, and brand elements, is owned by EnkiLabs. You retain ownership of the data and content you submit to the Service (competitor domains, company descriptions, Win/Loss entries).

Intelligence briefs, Counterplay cards, and Watchdog reports generated for your account are licensed to you for internal business use. You may not redistribute or commercialize Service outputs as standalone products.

8. Confidentiality

Each party may receive confidential information from the other in the course of using or operating the Service. Each party agrees to protect the other's confidential information with the same care it uses for its own, and not to disclose it to third parties without consent, except as required by law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ENKILABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY AI-GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENKILABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ENKILABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ENKILABS'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE FEES YOU PAID TO ENKILABS IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless EnkiLabs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, with proceedings conducted in English. The arbitrator's award shall be final and binding. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active customers by email at least 14 days before material changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. The "Last Updated" date at the top of this page reflects the current version.

14. Termination

Either party may terminate these Terms at any time. EnkiLabs may suspend or terminate your access immediately for material breach, non-payment, or conduct we reasonably believe poses risk to the Service or other users. Upon termination, your right to access the Service ends, and we will handle your data in accordance with our Privacy Policy.

15. General

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EnkiLabs regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger or acquisition.
• Force Majeure. Neither party is liable for delays caused by circumstances beyond their reasonable control.
